1. Introduction

Welcome to Layermate ("Service"), a Figma plugin that enables UI design generation through AI chat. These Terms of Use ("Terms") govern your use of our website, Figma plugin, and services offered by Rera, inc. ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Definitions

Service: The Layermate Figma plugin, website, and related services.

User: Any individual who accesses or uses our Service.

Content: Any information, data, text, designs, graphics, images, or other materials that users submit, upload, or generate through the Service.

Tokens: The units of measurement used to track and limit usage of our AI services.

3. Account Registration

To use certain features of the Service, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. We encourage you to use a strong password and to sign out from your account at the end of each session.

4. Subscription and Payments

Layermate offers various subscription plans and token packages. By selecting a subscription plan or purchasing tokens, you agree to pay the applicable fees. All payments are processed through our third-party payment processors.

Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan. Token packages are one-time purchases. We offer a 14-day money-back guarantee for unused subscription plans and unused token packages.

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, your subscription will remain active until the end of your current billing period.

5. Use of the Service

You may use our Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates any applicable law or regulation
  • Attempt to interfere with or disrupt the Service or servers or networks connected to the Service
  • Circumvent, disable, or otherwise interfere with security-related features of the Service
  • Use the Service to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Use the Service to generate sexually explicit, pornographic, or adult content of any kind
  • Use the Service to infringe upon intellectual property rights
  • Attempt to reverse engineer any portion of the Service
  • Collect or track personal information of other users

6. User Content

Our Service allows you to create, upload, and share content. You retain all rights to your content, but you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content in connection with providing and improving our Service.

You are solely responsible for your content and the consequences of sharing it through our Service. We do not endorse any content or any opinion, recommendation, or advice expressed therein, and we expressly disclaim any liability in connection with user content.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Rera, inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both Japan and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Rera, inc.

8. AI-Generated Content

Layermate uses artificial intelligence to generate UI designs based on user inputs. You understand that:

  • AI-generated content may not be perfect and might require further refinement
  • You are responsible for reviewing and approving any AI-generated designs before implementation
  • We do not guarantee that AI-generated designs will be free from intellectual property claims by third parties
  • You own the rights to the final designs you create using our Service, subject to our underlying technology rights

9. Limitation of Liability

In no event shall Rera, inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

10. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
